Terms of Service

1. Introduction and acceptance of terms
These Terms of Service (the “Terms”) govern the use of the services provided by Nordic Rooster Supply ApS, Nørrebrogade 45, 2200 København N, Denmark (“Nordic Rooster Supply ApS”, “we”, “us”, or “our”). By placing an order, requesting a quotation, booking a consultation, arranging delivery, or otherwise using our services, you (“Customer”, “you”, or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use our services. These Terms apply to all business-to-business and business-to-consumer transactions to the extent permitted by applicable Danish law, including mandatory consumer protection rules where applicable.
2. Scope of services
Nordic Rooster Supply ApS provides the following services:
- Breeding cock sales
- Mature rooster selection
- Poultry flock consultation
- Healthy stock sourcing
- Farm delivery coordination
Our services may include advisory work, sourcing, selection, coordination of transport or delivery, and sale of live poultry. Specific service details, pricing, availability, delivery conditions, and any special requirements will be confirmed in a quotation, order confirmation, invoice, or written agreement.
We reserve the right to refuse or cancel any order where we reasonably believe that performance would be unlawful, unsafe, impractical, or contrary to animal welfare requirements, biosecurity standards, or applicable regulations.
3. User obligations and responsibilities
You agree to provide accurate, complete, and up-to-date information when placing an order or requesting services, including contact details, delivery address, farm conditions, and any relevant information regarding animal housing, transport, or intended use.
You are responsible for ensuring that:
- you have the legal right and capacity to enter into the transaction;
- your premises, facilities, and handling procedures comply with applicable animal welfare, veterinary, and biosecurity rules;
- you have any permits, registrations, or approvals required for keeping, transporting, breeding, or receiving poultry;
- you can safely receive, house, feed, and care for any animals supplied;
- you comply with all applicable Danish and EU laws relating to animal health, transport, identification, and disease prevention.
You must promptly notify us of any issue affecting delivery, animal welfare, or the suitability of the animals for your premises. You must not misuse our services, provide false information, or use our services for unlawful purposes.
4. Payment terms and conditions
All prices are stated in Danish kroner (DKK) unless otherwise agreed in writing. Prices may be quoted exclusive or inclusive of VAT depending on the applicable transaction and will be clearly indicated on the quotation or invoice.
Unless otherwise agreed, payment is due in full before delivery or at the time stated on the invoice. We may require advance payment, deposit payment, or partial prepayment for reservations, sourcing work, consultations, or delivery coordination.
If payment is not received by the due date, we may:
- suspend or cancel the order;
- withhold delivery or performance;
- charge statutory interest and recovery costs in accordance with Danish law;
- recover any reasonable collection costs incurred.
Any bank charges, transfer fees, currency conversion costs, or payment processing fees are borne by you unless otherwise agreed.
5. Cancellation and refund policy
Because our services may involve live animals, sourcing work, reservations, and time-sensitive coordination, cancellation and refund rights are limited to the extent permitted by law.
Unless otherwise stated in a written agreement:
- consultation services may be cancelled with reasonable notice, but fees for work already performed remain payable;
- orders for sourced or reserved animals may be subject to non-refundable deposits or reservation fees;
- once animals have been selected, prepared, dispatched, or delivered, cancellation may not be possible;
- refunds are generally not available for change of mind, incorrect assumptions by the Customer, or failure to provide suitable facilities or permits.
If an order is cancelled by us due to unavailability, welfare concerns, legal restrictions, or other justified reasons, any prepaid amount for undelivered services will be refunded, unless the cancellation is caused by your breach of these Terms or applicable law.
Any claim regarding defects, non-conformity, or issues with delivered animals must be reported to us without undue delay and, where relevant, with supporting documentation. Remedies, if any, will be assessed case by case in accordance with applicable Danish law and the nature of live-animal transactions.
6. Liability limitations
We provide our services with reasonable care and skill. However, to the maximum extent permitted by law, Nordic Rooster Supply ApS shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of business, loss of production, or reputational loss.
Our liability is excluded or limited where damage results from:
- your failure to comply with these Terms or applicable law;
- improper handling, housing, feeding, transport, quarantine, or care after delivery;
- pre-existing conditions, undisclosed health issues, or environmental factors outside our control;
- force majeure events;
- instructions or decisions made by you against our advice.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by mandatory law, including liability for gross negligence, wilful misconduct, or personal injury caused by negligence, to the extent such liability cannot lawfully be excluded under Danish law.
Where liability is established, our aggregate liability for any claim arising out of or in connection with a specific order or service shall, to the extent permitted by law, be limited to the amount paid by you for the relevant service giving rise to the claim.
7. Intellectual property rights
All content, materials, documents, photographs, text, logos, service descriptions, selection criteria, consultation materials, and other intellectual property made available by Nordic Rooster Supply ApS remain our property or the property of our licensors, unless otherwise agreed in writing.
You are granted a limited, non-exclusive, non-transferable right to use such materials solely for the purpose of receiving and using our services. You must not copy, reproduce, distribute, modify, publish, or commercially exploit our materials without our prior written consent.
Any feedback, suggestions, or improvements you provide may be used by us without restriction or compensation, unless otherwise agreed in writing.
8. Data protection and privacy
We process personal data in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and Danish data protection legislation.
We collect and process personal data only to the extent necessary for:
- handling inquiries and orders;
- providing services and coordinating delivery;
- issuing invoices and managing payments;
- meeting legal, accounting, veterinary, and regulatory obligations;
- communicating with you regarding service-related matters.
We may share personal data with service providers, logistics partners, accountants, authorities, or other third parties where necessary for performance of the contract or compliance with law. We implement appropriate technical and organizational measures to protect personal data.

9. Force majeure
We shall not be liable for any delay or failure to perform our obligations where such delay or failure is caused by events beyond our reasonable control, including but not limited to extreme weather, fire, flood, epidemic, disease outbreak, transport disruption, strikes, labor disputes, governmental action, import/export restrictions, veterinary restrictions, supply chain disruption, power failure, or other similar events.
If a force majeure event occurs, we may suspend performance for the duration of the event and, where necessary, cancel or reschedule affected services. We will use reasonable efforts to mitigate the effects of the event and resume performance as soon as reasonably practicable.
10. Changes to terms
We may update or amend these Terms from time to time to reflect changes in our services, legal requirements, or operational needs. The updated Terms will take effect upon publication on our website or upon notice to you, whichever occurs first, unless a later effective date is stated.
If you continue to use our services after the updated Terms take effect, you will be deemed to have accepted the revised Terms. For ongoing contractual relationships, material changes will not apply retroactively unless required by law or expressly agreed in writing.
11. Applicable law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Denmark, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms shall be brought before the competent courts of Denmark. If you are a consumer, mandatory consumer rights under Danish and EU law remain unaffected, including any applicable venue rules that cannot be waived by agreement.

13. Severability clause
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a competent court or authority, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
Any invalid or unenforceable provision shall, where possible, be replaced by a valid provision that most closely reflects the original intent and economic effect of the original provision.
